1. Agreement to Terms
By engaging Vista SoCal for real estate media services — including but not limited to photography, videography, aerial/drone capture, virtual tours, floor plans, and related digital content — you ("Client") agree to be bound by these Terms of Service ("Terms"). Please read them carefully before booking any services.
If you are booking on behalf of a company, brokerage, or organization, you represent that you have authority to bind that entity to these Terms.
2. Services
2.1 Scope of Services
Vista SoCal provides real estate media services throughout Southern California. The specific deliverables, package details, and service options for each engagement are described in the booking confirmation or written quote provided to the Client.
2.2 Service Area
Services are available within Vista SoCal's standard service area in Southern California. Travel fees or surcharges may apply for locations outside our standard coverage zone. Any additional fees will be disclosed prior to booking confirmation.
2.3 Scheduling & Access
The Client is responsible for ensuring that the property is accessible, staged, and ready at the scheduled appointment time. Vista SoCal reserves the right to charge a trip fee or rescheduling fee if:
• The property is not accessible at the scheduled time
• The shoot cannot be completed due to conditions outside Vista SoCal's control (e.g., unsafe conditions, restricted access)
• The Client cancels or reschedules with less than 24 hours notice
3. Payments
3.1 Fees & Pricing
All fees are disclosed at the time of booking. Prices are subject to change without notice; however, confirmed bookings are honored at the agreed price. Pricing is based on the selected package and property details provided by the Client. Additional fees may apply for properties that exceed square footage thresholds, require additional shooting time, or include add-on services not included in the standard package.
3.2 Payment Schedule
Payment is due upon delivery of final media files unless otherwise agreed in writing. Vista SoCal reserves the right to require a deposit for large or custom projects. Accepted payment methods include credit/debit card, ACH transfer, and other methods listed at checkout.
3.3 Late Payments
Invoices not paid within 14 days of the delivery date are subject to a late fee of 1.5% per month (or the maximum rate permitted by applicable law, whichever is less) on the outstanding balance. Vista SoCal may withhold delivery of media files or suspend services for accounts with overdue balances.
3.4 Cancellations & Refunds
Cancellations made more than 24 hours before a scheduled shoot will receive a full refund of any deposit paid. Cancellations made within 24 hours of the scheduled shoot are non-refundable. If Vista SoCal cancels a shoot due to circumstances within its control, the Client will receive a full refund of any amounts paid.
4. Deliverables & Turnaround
Vista SoCal will deliver completed media files within the timeframe specified in the service package or booking confirmation. Typical turnaround is 24–48 hours for standard photography packages. Rush delivery options may be available for an additional fee. Delivery is made via an online gallery, download link, or other digital method as specified.
5. Intellectual Property & Usage Rights
5.1 License to Client
Upon receipt of full payment, Vista SoCal grants the Client a non-exclusive, non-transferable license to use the delivered media for the marketing, listing, and promotion of the subject property. This includes:
• MLS listings and real estate portals
• Social media and digital advertising related to the property
• Print marketing materials for the property
5.2 Restrictions
The Client may not resell, sublicense, or otherwise transfer the media to third parties for commercial use without Vista SoCal's prior written consent. The license applies to the specific property depicted and does not extend to other uses unrelated to that property's marketing.
5.3 Vista SoCal Portfolio Rights
Vista SoCal retains the right to use any media created under these Terms for its own portfolio, marketing, and promotional purposes, including on its website and social media channels.
6. Limitation of Liability
Vista SoCal's total liability to the Client for any claim arising from services rendered shall not exceed the total fees paid for the specific service engagement giving rise to the claim. Vista SoCal shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or lost business opportunities, even if Vista SoCal has been advised of the possibility of such damages.
Vista SoCal is not responsible for delays or failures caused by weather, acts of God, property access issues, equipment failure, or other circumstances beyond its reasonable control.
7. Indemnification
The Client agrees to indemnify, defend, and hold harmless Vista SoCal and its employees, agents, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of
(a) the Client's use of delivered media in violation of these Terms
(b) the Client's misrepresentation of authority to authorize access to a property
(c) any third-party claims related to the Client's business operations
8. Changes to These Terms
Vista SoCal reserves the right to update these Terms at any time. Updated Terms will be posted on our website and will apply to all new bookings made after the effective date of the revision. Continued use of Vista SoCal's services following any update constitutes acceptance of the revised Terms.
